GIẤY PHÉP KINH DOANH BÁN LẺ CHO DOANH NGHIỆP CÓ VỐN ĐẦU TƯ NƯỚC NGOÀI
Doanh nghiệp có vốn đầu tư nước ngoài muốn kinh doanh bán lẻ hàng hóa tại Việt Nam cần đáp ứng các điều kiện pháp lý nhất định. Tùy trường hợp, doanh nghiệp phải xin Giấy phép kinh doanh và Giấy phép lập cơ sở bán lẻ.
Vậy điều kiện cấp phép là gì? Hồ sơ cần chuẩn bị ra sao? Cùng tìm hiểu quy định dưới đây.
4. Hồ sơ xin giấy phép kinh doanh bán lẻ
Tùy loại giấy phép, hồ sơ có thể bao gồm:
Đối với Giấy phép kinh doanh:
- Đơn đề nghị cấp giấy phép;
- Bản giải trình điều kiện cấp phép;
- Kế hoạch kinh doanh;
- Tài liệu chứng minh năng lực tài chính;
- Các giấy tờ pháp lý liên quan.
Đối với Giấy phép lập cơ sở bán lẻ:
- Đơn đề nghị cấp giấy phép;
- Tài liệu về địa điểm kinh doanh;
- Tài liệu chứng minh quyền sử dụng địa điểm;
- Kế hoạch kinh doanh tại cơ sở bán lẻ;
- Hồ sơ ENT nếu thuộc trường hợp phải thực hiện.
Thành phần hồ sơ cụ thể phụ thuộc vào từng trường hợp và quy định hiện hành.

RETAIL BUSINESS LICENSE FOR FOREIGN-INVESTED ENTERPRISES IN VIETNAM
Foreign-invested enterprises (FIEs) wishing to conduct retail business in Vietnam must comply with applicable legal requirements. Depending on their business activities, enterprises may need a Business License and a Retail Outlet Establishment License.
What are the licensing conditions? What documents are required? This article provides an overview of the key requirements.
1. Do Foreign-Invested Enterprises Need a Retail Business License?
Under Vietnam’s regulations on foreign-invested business activities, retail distribution may be subject to licensing requirements.
Enterprises should distinguish between two types of licenses:
- Business License: Authorizes the enterprise to conduct retail distribution activities within the approved scope.
- Retail Outlet Establishment License: Authorizes the enterprise to establish a retail outlet at a specific location.
These licenses serve different purposes. One cannot automatically replace the other.
2. Conditions for Obtaining a Business License
Licensing conditions depend on the investor’s country of origin and Vietnam’s relevant international market access commitments.
Key requirements may include:
- Compliance with applicable market access conditions;
- Sufficient financial capacity to conduct the proposed business activities;
- No overdue tax liabilities, where this condition applies;
- Compliance with specific requirements for goods or services not covered by Vietnam’s market access commitments.
Investors should identify their proposed retail products and applicable market access conditions before preparing the application.
3. Conditions for Establishing a Retail Outlet
Foreign-invested enterprises must also satisfy the requirements for establishing retail outlets.
For the first retail outlet, key considerations include:
- Compliance with applicable tax obligations;
- A location consistent with land-use and planning regulations;
- Compliance with construction and fire safety requirements;
- Compliance with traffic and environmental regulations.
For the second and subsequent retail outlets, an Economic Needs Test (ENT) may be required.
Certain cases may be exempt from ENT under applicable regulations. Enterprises should review the relevant conditions before expanding their retail network.
4. Required Documents for Retail Licensing
The required documents depend on the type of license.
For a Business License:
- Application form;
- Explanation of licensing conditions;
- Business plan;
- Documents demonstrating financial capacity;
- Relevant legal documents.
For a Retail Outlet Establishment License:
- Application form;
- Documents concerning the proposed retail location;
- Documents proving the right to use the premises;
- Retail business plan;
- ENT-related documents, where applicable.
The specific requirements depend on the enterprise’s circumstances and applicable regulations.
5. Important Considerations for Foreign Investors
Before conducting retail business in Vietnam, enterprises should:
- Check market access conditions for foreign investors;
- Identify the goods they are permitted to distribute;
- Distinguish between the two types of retail licenses;
- Verify the legal status of the proposed retail location;
- Determine whether ENT applies to additional retail outlets.
Incomplete or inaccurate applications may result in delays or additional documentation requirements.
